1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and The Industry Accountants ("Company," "we," "us," or "our"). By creating an account, accessing our client portal, or using any of our services, you agree to these Terms in full.

If you do not agree to these Terms, do not use our services. If you are using our services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Services We Provide

3. Your Responsibilities

Accuracy of information

You are solely responsible for the accuracy, completeness, and truthfulness of all information you provide to us. This includes income information, deductions, business expenses, and any other data used to prepare your tax returns or provide other services.

Important: Providing false or misleading information for the purpose of reducing tax liability is illegal and may constitute tax fraud. We will rely on the information you provide in good faith. Any penalties, interest, or legal consequences resulting from inaccurate information you provide are your sole responsibility.

Timely provision of documents

You agree to provide all required documents and information in a timely manner. Delays in providing information may affect filing deadlines. We are not responsible for late filing penalties resulting from your failure to provide required information on time.

Review of completed returns

You are responsible for reviewing all completed tax returns before they are filed. Your authorization to file (electronic signature) constitutes your confirmation that the return is accurate to the best of your knowledge.

Account security

You are responsible for maintaining the confidentiality of your account credentials. Do not share your password with anyone. Notify us immediately if you suspect unauthorized access to your account.

4. Our Responsibilities

5. Fees and Payment

Service fees will be communicated to you before work begins. Fees are based on the complexity of your return or the scope of services requested.

Payment is due upon receipt of invoice. We reserve the right to withhold delivery of completed returns or documents until payment is received in full.

In the event of a dispute regarding fees, contact us within 14 days of receiving your invoice. We will work with you in good faith to resolve any billing concerns.

We do not issue refunds for completed and filed tax returns. If we make an error in preparation that results in additional tax liability, we will correct the error at no additional charge.

6. Confidentiality

We treat all client information as strictly confidential. Under IRC Section 7216, we are prohibited from disclosing your tax return information to third parties without your written consent, except as required by law.

We maintain a written information security program in compliance with the FTC Safeguards Rule and IRS Publication 4557. This program governs how we collect, store, access, and dispose of client information.

Our employees and contractors who access client data are bound by confidentiality agreements and receive training on data protection practices.

7. Intellectual Property

All content on our website and portal — including design, text, graphics, and software — is owned by The Industry Accountants and protected by copyright law. You may not reproduce, distribute, or create derivative works without our written permission.

Your tax returns and financial documents remain your property. We retain copies for the period required by professional standards and applicable law.

8. Limitation of Liability

Our liability for errors in tax preparation is limited to the fee paid for the affected service. We are not liable for:

9. Indemnification

You agree to indemnify and hold harmless The Industry Accountants, its employees, and contractors from any claims, damages, or expenses (including legal fees) arising from your breach of these Terms, your provision of inaccurate information, or your violation of any law.

10. Account Security

You are responsible for all activity that occurs under your account. You agree to:

11. Termination

Either party may terminate the service relationship at any time with written notice. Upon termination:

12. Dispute Resolution

In the event of a dispute, we encourage you to contact us directly first. Most concerns can be resolved quickly and informally.

If a dispute cannot be resolved informally, both parties agree to attempt mediation before pursuing any other legal remedy. Mediation shall be conducted by a mutually agreed upon mediator.

Any legal action must be filed within one year of the event giving rise to the claim.

These Terms are governed by the laws of the United States and the state in which The Industry Accountants is registered to do business. Any legal proceedings shall be conducted in the appropriate court of that jurisdiction.

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before taking effect. Your continued use of our services after any changes constitutes acceptance of the updated Terms.
